Yunwo Membership Service Agreement
This Agreement is entered into by Yuexin Health Technology (Beijing) Co., Ltd. (referred to as "Yunwo" or "we") and the user ( referred to as "Member" or "you") who uses the Yunwo membership auto-renewal service ( referred to as "this Service," including continuous monthly subscription, continuous annual subscription, and other forms) on the basis of equality, voluntariness, fairness, and good faith. This Agreement is a supplementary agreement to the "Yunwo User Agreement" and the "Yunwo Membership Agreement," and has the same legal effect as the aforementioned agreements. For matters not covered in this Agreement, the provisions of the aforementioned agreements and the valid rules publicly announced on the Yunwo platform shall prevail.
I. Effectiveness and Acceptance of the Agreement
You confirm that before activating this Service, you have fully read, understood, and accepted all the terms of this Agreement, including but not limited to the automatic deduction rules, methods of agreement modification, cancellation procedures, and other core content. Yunwo has prominently highlighted provisions in this Agreement that exempt or limit our liability, increase your obligations, or exclude your main rights (such as agreement modifications, liability limitations, etc.) by means such as bolding or highlighting, and you should pay special attention to these provisions.
• 2. By choosing to activate this service, you are deemed to have agreed to be bound by this Agreement as well as the "Yunwo User Agreement" and the "Yunwo Membership Agreement," and authorize Yunwo to provide automatic renewal and deduction services in accordance with the terms of this Agreement. If you do not agree to the terms of this Agreement, please do not activate this service.
II. Service Content and Rules
(1) Service Definition
This service is an automatic deduction service launched by Yunwo to facilitate members in continuously enjoying membership benefits by automatically deducting the fees for the next billing cycle. After you activate this service, you authorize Yunwo to deduct the membership fee for the next cycle from your bound payment account before the current membership period expires, thereby avoiding interruption of membership benefits due to oversight in renewal.
(2) Deduction Rules
Deduction Cycle: According to the type of automatic renewal you select (continuous monthly/continuous yearly), the deduction cycle shall be monthly or yearly. The deduction date shall be based on the date you activate this service; if the corresponding date does not exist in the following month/year (e.g., activated on February 29, but no February 29 in the next year), the deduction will be automatically postponed to the last day of that month.
Deduction Account and Method: Yunwo will deduct fees from the following accounts bound by you (collectively referred to as the "Deduction Account"): Yunwo’s own recharge account, third-party payment accounts bound to the membership account (such as Alipay, WeChat Pay, etc.), bank cards, telecommunication accounts, iTunes accounts, online banking, and others. Upon successful deduction, your membership validity period will be extended according to the corresponding cycle based on the original validity period.
Deduction Prerequisites: You shall ensure that the Deduction Account is in normal status, has sufficient balance, payment permissions are not restricted, and has been bound to the Yunwo membership account. If the deduction fails due to insufficient balance, account freeze, payment channel closure, unbinding, or other reasons, it shall be deemed as automatic renewal failure, and membership benefits will be interrupted after the current period expires. Any related losses shall be borne by you.
Price and Discounts: The deduction amount shall be based on the automatic renewal price publicly displayed at the time you activate this service. If there is a price adjustment (including price increase, decrease, or termination of discounts) before deduction, we will notify you at least 3 days in advance through prominent means such as APP pop-ups, push notifications, or internal messages. The adjusted price shall take effect from the next billing cycle. If you do not agree to the price increase, you may cancel this service before the current period expires to avoid being charged at the new price.
Deduction Reminder: Within 24 hours before deduction, we will send you a deduction reminder via internal message, APP push notification, SMS, or other contact methods you have provided, informing you of the deduction time, amount, deduction account, and cancellation procedures. Failure to receive the reminder does not affect the legal validity of the deduction. However, if the failure to send the reminder is caused by our system malfunction and results in your loss, we will bear the corresponding legal liability.
(3) Service Restrictions
This service is only applicable to your personal Yunwo membership account. It is strictly prohibited to lend or share the account in any manner to use this service. Otherwise, we have the right to suspend or terminate your membership service and hold you liable for breach of contract.
Any acts of circumventing the automatic deduction rules or obtaining membership benefits through illegal means such as malicious cracking, program tampering, third-party plugins, etc., shall constitute breach of contract and infringement. We have the right to terminate your service and membership qualification, reclaim the benefits you have enjoyed, pursue your legal liabilities, and demand full compensation for all losses.
• 3. The provision of this service is subject to the "Yunwo User Agreement" and the "Yunwo Membership Agreement." If you violate the aforementioned agreements, we have the right to suspend or terminate this service without refunding any fees already deducted.
III. Rights and Obligations of Both Parties
(1) Rights and Obligations of Yunwo
Provide automatic renewal services in accordance with the terms of this agreement, ensure the deduction process is secure and transparent, promptly update your membership validity period after deduction, and generate clear payment records for your inquiry.
Provide convenient channels for fee inquiry (such as "My - Orders" within the APP), and upon your request, issue you legally valid invoices (electronic or paper invoices, subject to platform announcement) through designated procedures. You shall apply for and download/collect the invoices by yourself.
Have the right to modify the terms of this agreement due to business adjustments, technical upgrades, policy changes, and other reasons. The modifications will be prominently announced via pop-up windows on the Yunwo APP homepage, in-site announcements, etc., with a public notice period of no less than 7 days. After the notice period expires, the modified terms shall automatically take effect; if you disagree with the modifications, you may cancel the service within the notice period. Continuing to use the service shall be deemed acceptance of the modified terms.
If deduction failures, duplicate deductions, or incorrect deductions occur due to our reasons such as system failures or payment channel anomalies, we shall proactively rectify the issue within 24 hours after verification and compensate you with membership benefits (duplicate or incorrect deductions will be fully refunded to the original payment account).
Your personal information related to this service (including payment information) will be kept strictly confidential and used only for providing this service and fulfilling legal obligations. It shall not be disclosed to any third party (except as otherwise provided by laws and regulations or with your consent).
(II) Rights and Obligations of Members
You have the right to inquire about the activation status of this service, deduction records, and membership validity period. If you have any objections to the deductions, you may provide feedback through official channels, and we will verify and respond within three working days.
You have the right to voluntarily cancel this service in accordance with the provisions of this agreement. After cancellation, no further automatic deductions will be made (except for deduction instructions already initiated; if the deduction is successful, the membership validity period will be extended accordingly).
You shall properly safeguard your membership account and payment account information. Any deduction losses caused by account theft, password leakage, or account misuse shall be borne by you. If you discover any abnormality in your account, you should immediately contact us to freeze the account.
You should regularly check the status of your payment account to ensure sufficient balance and payment authorization for deductions. If deductions fail or membership rights are interrupted due to account issues, you shall bear the responsibility.
• 5. You shall not use this service to engage in illegal or non-compliant activities or actions that harm Yunwo or third-party rights. Otherwise, we have the right to terminate the service without refunding any deducted fees.
IV. Cancellation and Termination of Service
(I) Service Cancellation
You may cancel this service at any time through the corresponding channels below. The cancellation will take effect immediately, and no further automatic deductions will be initiated after the cancellation takes effect. Please be sure to operate in advance to avoid deductions caused by system delays (if deductions still occur after cancellation, we will verify and refund the full amount):
iOS Version (iTunes Account Binding): Open your phone’s [Settings] → Tap [Apple ID] → Enter [Media & Purchases] → Select [View Account] → Enter [Subscriptions] → Find “Yunwo Membership” → Tap [Cancel Subscription].
Android Version (Third-Party Payment Binding): Open the Yunwo APP [My] → Enter [Membership Center] → Find [Auto-Renewal Management] → Tap [Cancel Auto-Renewal]; or cancel via the linked payment channels (Alipay/WeChat Pay):
Alipay (Me - Settings - Payment Settings - Password-Free Payment/Auto Deduction),
WeChat (Me - Services - Wallet - Payment Settings - Auto Deduction),
Find “Yunwo Membership” and turn it off.
Other Channels: If you have activated the service via bank card, telecom account, or other bindings, you may contact Yunwo official customer service for cancellation assistance, or disable it through the password-free payment management page of the corresponding payment channel.
Note: After canceling this service, your currently effective membership benefits will not be affected and can continue to be used until the expiration of the validity period.
(2) Service Termination
This service will automatically terminate under the following circumstances:
You voluntarily cancel this service;
Your membership account is canceled, frozen, or your membership qualification is terminated due to violation of the agreement;
Payment fails for three consecutive times, and you do not replenish your account balance or resolve the payment issue within 7 days;
Yunwo terminates the provision of this service (a 7-day prior notice will be given, and already paid membership benefits can be used until the expiration of the validity period).
After the termination of the service, we will no longer initiate debit instructions to your payment account, and the rights and obligations between both parties regarding this service shall terminate (except for any legally incurred debts, confidentiality obligations, etc.).
V. Limitation of Liability and Disclaimer
We shall not be liable for breach of contract if the service cannot be provided normally due to force majeure (such as earthquakes, typhoons, natural disasters, policy adjustments, network interruptions, payment channel system failures, or other unforeseeable and unavoidable circumstances). However, we shall promptly notify you and resume the service as soon as possible after the force majeure event is eliminated.
We shall not be liable for failed deductions or service abnormalities caused by your own operational errors, equipment failures, network issues, changes in third-party payment channel policies, or other reasons not attributable to us, but we may provide necessary assistance.
We are only responsible for the compliance and security of the service itself and shall not be liable for any third-party content or services obtained by members through the use of this service.
VI. Supplementary Provisions
This agreement is governed by the laws of the People’s Republic of China (excluding the laws of Hong Kong, Macau, and Taiwan). Any disputes arising from or related to this agreement shall first be resolved through friendly consultation between the parties; if consultation fails, either party has the right to file a lawsuit with the competent People’s Court at the domicile of Yuexinshen Health Technology (Beijing) Co., Ltd., or to file a complaint with the competent consumer association.
The rules, instructions, notices, and other information regarding this service published on the Yunwo platform are an integral part of this agreement and have the same legal effect as this agreement.
If you have any questions or complaints regarding the content of this agreement or the service, you may provide feedback through the customer service entry within the Yunwo APP or via the official customer service phone/email. We will respond and handle your inquiry within three working days.
This agreement shall come into effect from the date you activate the service and shall remain effective until the termination of the service. Yunwo reserves the final right of interpretation of this agreement within the scope permitted by law.
